1. About these Terms
These Terms form a legally binding contract between you and Project Freelance Limited(trading as Kinvoy), a company registered in England and Wales with company number 8845897, incorporated in 2014. Our registered office is at 48 Meadow Road, Barlaston, Stoke on Trent, Staffordshire, ST12 9EJ.
These Terms are governed by the laws of England and Wales and comply with the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and all other applicable UK consumer protection legislation.
By accessing or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding contract, and agree to these Terms and our Privacy Policy.
2. Eligibility
The Service is available to individuals aged 18 and over who are resident in the United Kingdom and who are acting in their capacity as an executor, administrator, or next of kin in relation to the estate of a deceased person. The Service is also available to legal professionals (solicitors, licensed conveyancers, and estate administrators) acting on behalf of such individuals.
By using the Service, you represent and warrant that you have the legal authority to manage the estate or to act on behalf of the estate's executor or administrator, and that any personal data you enter about the deceased person or third-party beneficiaries has been obtained lawfully and with appropriate authority.
3. Your account
3.1 Registration
To use the Service, you must create an account using Manus OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
3.2 Accuracy of information
You agree to provide accurate, current, and complete information when creating your account and when using the Service. You are responsible for the accuracy of all data you enter, including details about the deceased person, estate assets, and beneficiaries.
3.3 One account per estate
Each estate portal is intended for use in connection with a single deceased person's estate. You may create multiple estate portals under a single account if your subscription plan permits.
4. The Service
4.1 What Kinvoy provides
Kinvoy provides a secure, cloud-based platform for organising and managing the administrative responsibilities associated with estate administration after a bereavement. The Service includes a guided task checklist, secure document vault, deadline tracker, collaborator invitation tools, institution notification templates, and an AI-assisted bill scanning feature.
4.2 What Kinvoy does not provide
Kinvoy is not a law firm, financial adviser, accountant, or probate practitioner. The Service does not constitute legal advice, financial advice, tax advice, or probate services. The task checklists and guidance notes are provided for informational purposes only and may not reflect the specific circumstances of your estate. You should always seek independent professional advice for matters with legal or financial consequences.
4.3 Service availability
We aim to provide the Service 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. We may suspend the Service temporarily for maintenance, upgrades, or emergency security reasons. We will endeavour to give reasonable advance notice of planned maintenance where possible. We are not liable for any loss caused by temporary unavailability.
4.4 AI features
The Service includes AI-powered features, including an estate administration assistant and a bill scanning tool. These features are provided as a convenience and their outputs may contain errors. You must review all AI-generated content before relying on it. AI outputs do not constitute legal, financial, or professional advice.
5. Subscription and billing
5.1 Plans and pricing
Kinvoy offers subscription plans as described on our Pricing page. Prices are shown inclusive of VAT where applicable. We reserve the right to change our pricing with at least 30 days' notice to existing subscribers.
5.2 Free trial
New subscribers receive a 7-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial period ends, your payment method will be charged at the applicable subscription rate. You may cancel at any time during the trial period without charge.
5.3 Billing
Subscriptions are billed monthly or annually in advance, depending on the plan selected. Payments are processed by Stripe, Inc. By providing your payment details, you authorise us to charge the applicable subscription fee on a recurring basis until you cancel. All payments are non-refundable except as set out in Section 6.
5.4 Failed payments
If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, we may suspend or terminate your access to the Service. We will notify you by email before suspending access.
6. Cancellation and refunds
6.1 Your right to cancel
You may cancel your subscription at any time through the billing portal accessible from your account settings, or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.
6.2 Statutory right to cancel (Consumer Contracts Regulations 2013)
If you are a consumer (not a business), you have a statutory right to cancel your subscription within 14 days of purchase without giving any reason (the "cooling-off period"). To exercise this right, you must notify us clearly in writing at [email protected] before the 14-day period expires.
Important: By starting to use the Service immediately after purchase, you acknowledge that you are requesting performance of the contract to begin during the cooling-off period. If you exercise your right to cancel after the Service has commenced, you may be charged a pro-rata amount for the portion of the service already delivered.
6.3 Refunds
Outside the statutory cooling-off period, subscription fees are non-refundable. However, we may offer a goodwill refund or account credit at our discretion in exceptional circumstances, such as extended service unavailability caused by us. Please contact [email protected] to discuss your situation.
6.4 Data after cancellation
Following cancellation, your data will be retained for 30 days to allow you to export your documents. After 30 days, all estate data and uploaded documents will be permanently deleted. See our Privacy Policy for full details.
7. Acceptable use
You agree not to use the Service to:
- Upload or store content that is unlawful, fraudulent, defamatory, or infringes any third party's intellectual property rights.
- Impersonate any person or entity, or misrepresent your authority to administer an estate.
- Attempt to gain unauthorised access to any part of the Service, our servers, or any data belonging to another user.
- Introduce viruses, malware, or any other harmful code.
- Use the Service for any purpose other than legitimate estate administration.
- Scrape, crawl, or systematically extract data from the Service.
- Resell, sublicense, or provide access to the Service to third parties without our written consent.
- Use the Service in any way that violates any applicable UK or international law or regulation.
We reserve the right to suspend or terminate your account immediately if we reasonably believe you have breached this section.
8. Your content and data
8.1 Ownership
You retain full ownership of all content and data you upload to the Service ("Your Content"), including documents, estate information, and notes. You grant Kinvoy a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the Service to you.
8.2 Your responsibility
You are solely responsible for Your Content. You represent and warrant that you have all necessary rights and permissions to upload Your Content, that it does not infringe any third party's rights, and that it complies with all applicable laws. You are responsible for ensuring that any personal data you enter about third parties (including beneficiaries and the deceased) is accurate and that you have the authority to process it.
8.3 Data export
You may export your documents and estate data at any time while your subscription is active. We provide document download functionality within the portal. We do not guarantee the availability of export tools after your subscription ends, though we will retain your data for 30 days following cancellation as described in Section 6.4.
9. Intellectual property
All intellectual property rights in the Service, including the software, design, text, graphics, logos, and documentation, are owned by or licensed to Project Freelance Limited (trading as Kinvoy). Nothing in these Terms grants you any rights in the Service other than the limited right to use it in accordance with these Terms.
The Kinvoy name, logo, and brand assets are trademarks of Project Freelance Limited. You may not use them without our prior written consent.
10. Disclaimer of warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Kinvoy disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be error-free, uninterrupted, secure, or free from viruses. We do not warrant the accuracy, completeness, or suitability of any guidance, checklists, or templates provided within the Service.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
11. Limitation of liability
To the fullest extent permitted by applicable law, Kinvoy's total aggregate liability to you for all claims arising out of or in connection with these Terms or the Service (whether in contract, tort, negligence, or otherwise) shall not exceed the greater of:
- the total subscription fees paid by you to Kinvoy in the 12 months preceding the claim; or
- £100.
In no event shall Kinvoy be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
If you are a consumer, these limitations do not affect your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.
12. Indemnity
You agree to indemnify, defend, and hold harmless Project Freelance Limited (trading as Kinvoy), its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any applicable law or the rights of any third party.
13. Termination
13.1 By you
You may terminate your account at any time by cancelling your subscription as described in Section 6.
13.2 By us
We may suspend or terminate your account immediately and without notice if: (a) you breach these Terms; (b) we are required to do so by law; (c) we reasonably believe your use of the Service poses a security risk; or (d) we decide to discontinue the Service (in which case we will give at least 30 days' notice and a pro-rata refund of any prepaid fees).
13.3 Effect of termination
On termination, your right to use the Service ceases immediately. Sections 8, 9, 10, 11, 12, and 14 survive termination. Your data will be handled as described in Section 6.4 and our Privacy Policy.
14. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, you also have the right to use the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr) and to refer complaints to the Citizens Advice consumer helpline (0808 223 1133).
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you may cancel your subscription before the effective date and receive a pro-rata refund for any unused prepaid period.
